The Structure
Borusan Group is organized in a Holding structure at the top, which acts as a parent for its operating subsidiaries. This structure allows Kocabıyık family as the Holding shareholders, the control over all the business without necessarily having to be directly involved in the management of the operating subsidiaries.
The Parent is defined as all management platforms and levels, which have direct and indirect impact, influence and control over the operating company managements. The role of the corporate parent is summarized as follows:
- Providing strategic leadership.
Spreading knowledge and people.
Creating an identity.
- Assuming the availability of financial resources and their proper allocation for financial soundness, long-term success and survival.

- Borusan Holding Executive Board
As the top governing body of the Group, Borusan Holding Executive Board assumes overall responsibility of the business towards the Holding's shareholders. Main role is to determine the Group's aims and objectives and how they are strategically achieved. Borusan Group Executive Board includes a balance of executive and non-executive directors (including independent members). Currently The Board is constituted by 6 members, 2 of which have an independent status.

Chief Executive Office
The CEO is responsible from the overall execution and management of the Group with top operational responsibility both for short and long term. The CEO is constituted by Ahmet Kocabıyık, Chairman of the Board, Bülent Demircioğlu, Vice Chairman and Managing Director of the Pipe Group companies and Agah Uğur, Managing Director of Borusan Holding. The Holding company gives corporate direction on main group wide functions: Business development, Finance, HR, IT & PR
Operating Company Boards
Are a management control platform to:
- Provide guidance, assistance and challenge to Chief Executive Office in managing the strategically important issues of an operating company.
- Outside directors to express their views, desires and provide additional parental guidance.
- Approve major matters in the operating company.
The Principles
Regarding the communication with existing and potential investors, customers, and general public, Borusan Group acts within principles of timeliness, transparency, clarity and equal treatment.
Borusan Group releases the financial statements of its publicly traded companies in accordance with the requirements of Capital Markets Board quarterly and Group's IAS based audited consolidated financial statements annually.
Borusan Group discloses to the public any new developments concerning the field of activity of its publicly traded companies without delay if, because of their impact on the companies business, those developments could substantially influence the share price of these companies. In addition to this Borusan Group reports at regular intervals on corporate strategy and anticipated future progress.
Borusan as a Corporate Citizen
Borusan Group, aware of its responsibilities as a good corporate citizen, is committed to reinvest into the society in order to develop the young people of Turkey to their full potential, to foster an appreciation of modern art and music among them and to preserve Turkey's rich cultural heritage.
Borusan Culture and Art Center, founded in 1997, is an institutionalized and centralized organization for the wide range of cultural activities Borusan Group supports. Its facilities include an art gallery, music library and auditorium. Borusan Chamber Orchestra and Borusan Istanbul Philharmonic Orchestra, Group's first major contribution to culture and arts, and Borusan Culture and Art Publications are other organizations among Borusan umbrella to work in this respect.
Since 1992, Asım Kocabıyık Foundation for Culture and Education has provided scholarships for promising students from disadvantaged families. The Foundation has also built and endowed Borusan Asım Kocabıyık Anatolian Vocational High School, Borusan Otomotiv Zehra Nurhan Kocabıyık Primary School and Kocaeli University Hereke Campus Dormitory and Vocational College.
